Corporate Terms and Conditions

1. Scope of Application

These Terms and Conditions (hereinafter referred to as the "Terms") govern all quotations, sales contracts, and supply agreements between Shenzhen Era Display Technology Co., Ltd. (hereinafter referred to as "the Seller") and the Buyer. By placing an order, the Buyer agrees to be fully bound by these Terms.

2. Quotations and Orders

  • All quotations issued by the Seller are non-binding and subject to adjustment without prior notice.
  • A formal sales contract takes effect only after the Seller issues written order confirmation.
  • Oral or informal electronic orders are invalid before written confirmation from the Seller.

3. Pricing and Payment Terms

All prices are quoted in USD and exclude taxes, import duties, international shipping, and handling fees unless otherwise agreed in writing. Payment terms shall follow the agreement stated on the proforma invoice.

The Seller reserves the right to suspend or cancel all shipments if the Buyer fails to fulfill payment obligations on time.

4. Delivery and Risk Transfer

All stated delivery dates are estimated only and non-binding unless marked as "firm delivery dates" in formal written documents. Risk of loss or damage to goods transfers to the Buyer once goods are delivered to the carrier, subject to agreed Incoterms (FOB, CIF, EXW).

5. Product Specifications and Modifications

The Seller reserves the right to optimize product specifications, designs or spare parts without advance notice, provided such changes will not materially affect the product’s form, fit or core performance function.

6. Acceptance and Inspection

The Buyer shall complete full goods inspection within 5 business days after receiving the shipment. All claims for defects, quantity shortages or non-conforming products must be submitted to the Seller in writing within this time limit. Failure to submit written notice within the period will be deemed full acceptance of the delivered goods.

7. Limitation of Liability

The Seller’s total compensation liability under any single contract shall not exceed the total payment amount of that order. The Seller shall not be responsible for any indirect, incidental, special or consequential losses, including without limitation lost profits, business suspension losses and customer compensation losses.

8. Intellectual Property Rights

All intellectual property rights covering products, technical drawings, manuals, trademarks and technical data belong exclusively to the Seller. The Buyer is prohibited from copying, distributing or commercially using such materials without the Seller’s prior written approval.

9. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the People's Republic of China. Any disputes arising from transactions under these Terms shall be submitted to the courts of the Seller’s domicile for exclusive jurisdiction.

10. Force Majeure

The Seller shall not be liable for delivery delays or contract performance failures caused by uncontrollable events beyond reasonable prediction, including natural disasters, wars, labor strikes, global supply chain breakdowns and government policy adjustments.
